1. Scope of Policy
This Wholesale Buyer Policy governs the relationship between Tomford Tailor (‘we’, ‘us’, ‘our’) and any business or entity (‘Buyer’) purchasing products or services for resale or large-scale use.
2. Order Placement and Terms
Wholesale orders must meet the minimum quantity and value requirements as specified in our wholesale agreement. Orders are confirmed upon receipt of a signed agreement or purchase order.
3. Pricing and Payment Terms
Wholesale pricing is provided upon request and subject to change based on volume, materials, and market conditions. Payment terms are specified in the contract (e.g., 50% advance, 50% on delivery). Late payments may incur a 2% monthly interest.
4. Delivery and Logistics
Tomford Tailor manages all logistics and delivery. Delivery timelines will be communicated at the time of order confirmation. Delays due to customs or external factors are not under our control.
5. Returns, Replacements, and Defects
Returns are accepted only for manufacturing defects or order discrepancies reported within 7 days of receipt. We will replace defective goods or offer credit as deemed appropriate.
6. Exclusivity and Branding
Buyers are not permitted to rebrand Tomford Tailor products without prior written approval. Exclusive distribution rights can be granted through separate contractual agreement.
7. Quality Assurance
All products undergo strict quality checks before dispatch. Buyers are encouraged to perform their own quality inspection upon delivery.
8. Intellectual Property and Use
All logos, designs, patterns, and marketing materials are the sole property of Tomford Tailor. These may not be reused, modified, or distributed without explicit permission.
9. Confidentiality
All commercial terms, pricing, and product details are confidential. Buyers must not share these with third parties.
10. Limitation of Liability
Tomford Tailor’s liability is limited to the value of the goods supplied. We shall not be liable for any indirect, incidental, or consequential losses.
11. Termination of Agreement
Either party may terminate the wholesale agreement with 30 days’ written notice. Immediate termination applies in case of breach of terms.
12. Governing Law
This policy and all transactions are governed by the laws of Thailand. Disputes shall be resolved in the courts of Chiang Mai.
13. Modifications
We may amend this policy. Buyers will be notified in writing. Continued business implies acceptance of changes.
